Most Important Terms & Conditions

1. INTRODUCTION
1.1 Parties

• Research Analyst (hereinafter “RA,” “We,” “Our,” or “Us”)
○ Kavita Agrawal, SEBI Registered Research Analyst, Registration No. INH000010982
○ Type of Registration: Individual | Validity: Perpetual

• Client or User (“You,” “Your,” or “Client”)
○ The individual or entity subscribing to or availing research services.
○ Must meet the eligibility requirements set forth herein and under Indian law.
2. PURPOSE
2.1 These Terms & Conditions (“T&C”) govern the Client’s use or subscription of Our research services (“Services”), including any digital platforms or technology solutions that We or our service providers provide.

2.2 Compliance with SEBI Circulars
• This document incorporates the minimum mandatory provisions contained in SEBI circulars SEBI/HO/MIRSD/MIRSD-PoD-1/P/CIR/2025/004 dated January 08, 2025, and SEBI/HO/MIRSD/MIRSD-PoD/P/CIR/2025/20 dated February 17, 2025, as well as amendments to the SEBI (Research Analysts) Regulations, 2014.
• In case of conflict between these T&C and SEBI regulations/guidelines, the SEBI regulations/guidelines shall prevail.
3. DEFINITIONS
• “Client” or “User”: Any person or entity that registers with the RA and agrees to these T&C.
• “Services”: Includes research reports, trade ideas, model portfolios, analyses, and any online/offline advisory/research support.
• “Digital Platform”: Websites, mobile/web applications, or other technology platforms used to deliver the Services.
• “KYC”: Know Your Customer—verification process mandated by SEBI (and other applicable laws).
4. SCOPE OF SERVICES
• Research-Only / No Execution: We provide research and analysis only. We do not execute trades, hold client funds, or provide assured returns.
• Model Portfolios: Provided for informational purposes only. Compliance will be ensured with SEBI’s model portfolio guidelines.
• Use of Artificial Intelligence (AI): If AI tools are used, RA remains fully responsible for quality, accuracy, and confidentiality.
• No Guarantee of Returns: All investments carry market risk. Past performance is not indicative of future results.
5. ELIGIBILITY
• Only individuals aged 18 years or older or legally incorporated entities may register.
• Clients must provide accurate KYC details. Services may be suspended/terminated if KYC requirements are not met.
6. REGISTRATION & ACCOUNTS
• Registration requires completion of a form and acceptance of T&C.
• Clients must maintain confidentiality of login credentials.
• Unauthorized use or distribution of RA content is prohibited and may lead to termination and legal action.
7. FEES & PAYMENT
• Maximum Fee: INR 1,51,000 per annum per family of client (for individuals/HUFs), excluding statutory charges.
• Fees for corporates/institutions may be negotiated bilaterally.
• Billing: Quarterly or yearly in advance, subject to SEBI’s limits.
• Refund Policy: No refunds once service begins, except as mandated by SEBI.
• Fee Structure Reference: As per current pricing published on exp-invest.in.
8. MANDATORY TERMS & CONDITIONS
• Services are provided in compliance with SEBI (RA) Regulations, 2014.
• Clients must provide complete KYC details.
• All investments carry market risks. No guaranteed returns.
• Conflicts of interest, if any, will be disclosed.
• If RA registration is suspended/cancelled, unutilized fees will be refunded as mandated by SEBI.
• Grievances: First contact RA at kavita@exp-invest.in. If unresolved, escalate via SEBI SCORES portal or Smart ODR.
• Clients must adhere to SEBI’s Do’s and Don’ts for Research Analysts.
9. CONFIDENTIALITY & DATA PROTECTION
• Client data will be used only for regulatory compliance.
• RA endeavors to protect client data but does not guarantee absolute internet security.
10. LIMITATION OF LIABILITY
• RA shall not be liable for direct, indirect, or consequential losses based on research provided.
• RA is not liable for events beyond its control (force majeure).
• RA relies on third-party data sources and shall not be liable for inaccuracies.

Risk with short term investment

Retail investors should understand that all investments have risk, and that short-term investing in a volatile market carries significant risk of loss.
Short-term trading, including trading aided by the use of margin or options, can lead to significant and unanticipated losses for retail investors.
Investing in Bubbles or Manias - Financial “manias” or a “bubble” is the rapid rise in the price of an investment, reflecting a high degree of collective enthusiasm or exuberance regarding the investment’s prospects. This rapid rise is usually followed by a contraction in the investment’s price. The contraction, or “panic” occurs when there is wide-scale selling of the investment that causes a sharp decline in the investment’s price.
Momentum Investing - Another investing strategy that can pose high risks for retail investors is “momentum investing.” An investor using a momentum investing strategy seeks to capitalize on the continuance of existing trends in the market. A momentum investor believes that large increases in the price of an investment will be followed by additional gains and vice versa for declining values. If that belief turns out to be incorrect, it can lead to significant losses.
Noise Trading - Noise trading occurs when an investor makes a decision to buy or sell an investment without the use of fundamental data (that is, economic, financial, and other qualitative or quantitative data that can affect the value of the investment). Noise traders generally have poor timing, follow trends, and overreact to good and bad news in the market.
All investing has risks. If you invest using margin, options, or short sales these risks may be magnified. Margin trading (using borrowed money to buy securities) can be very risky and is not appropriate for every investor. Before you invest using margin consider that:

You can lose more money than you have invested;
You may have to deposit additional cash or securities in your account on short notice to cover market losses (a “margin call”); and
Your brokerage firm can increase its margin requirements at any time and is not required to provide you with advance notice.
